John’s practice covers a broad range of corporate law. This includes M&A transactions, property development joint ventures for residential and mixed-use, corporate aspects of estate planning, development agreements and joint ventures for ground mounted solar farms, advice to professional and other partnerships and their LLP agreements, private equity and venture capital investment often acting for senior management, and buying and selling property held in a corporate wrapper. His funds expertise encompasses limited partnerships, offshore unit trusts and FSMA aspects of establishment and promotion of unregulated CISs and the manager role. He regularly advises in relation to shareholder disputes. John heads up the firm’s energy team and works with landed estates.

Recent Experience

John acts for entrepreneurial clients in the property, social housing, renewable energy and financial services sectors. Recent matters include:

• several high value joint ventures between registered providers and private developers or local authorities
• sales of various ground mounted solar and battery developments at the ready to build stage as well as mature assets
• corporate sales of a Lloyds MGA, an estate agency and a restaurants business, in each case acting for executors
• advice to a senior manager in relation to an MBO and his sale of shares and rollover
• advice to a family office in relation to several investments in closed ended private equity funds based in Luxemburg and Cayman
• advice to a senior non-executive director joining private equity backed companies
• advice to partners joining a venture capital UK fund manager
• advice on setting up LLPs, including for a new law firm and a pop group
• shareholder disputes arising out of early-stage companies
• LTIPs acting for management
